To S.W. Conser:
This letter serves as my resignation from the KBOO Foundation Board of Directors, effective August 23, 2013, 3:11 PM.
I have concerns in regard to:
The majority of the board placing in abeyance the Board Policy Manual.
Allowing two sets of employee policies to be in effect simultaneously.
Voting to approve expenditures without adequate information possibly in violation of fiduciary responsibility.
Voting to NOT follow the duty of loyalty to the foundation, policy.
Directors debating whether members and volunteers are entitled to privacy.
Directors putting personal matters above and to the expense of the foundation.
Failure to protect the privacy of KBOO members and volunteers.
Failure to honor privacy during discussions of personnel matters in public meetings.
Inappropriate communication between Board Members and employees.
Failure to maintain integrity in the KBOO election process.
Employing multiple conflicting standards of conduct toward employees and Directors.
Disregard for conflicts of interest on the part of Directors.
Lack of interest and commitment to board led fund raising and investing the time to do so.
For these reasons I am resigning effective immediately.
It is my intention is to continue to participate on committees and as a volunteer and programmer to help KBOO sustain and prosper, however, I cannot in good faith remain a sitting director on a board I fear is causing the Foundation to be in danger of fiscal insolvency and placing it in danger of litigation.
