KBOO Board meeting tonight
author: Theresa Mitchell
6PM, 20 SE 8th Ave., Portland....celebrations afterward
A large group of KBOO members and volunteers will converge on the KBOO Studios tonight, to ask the Board to rescind its policy of delegating too much power to the Executive, to reinstate transparency and accessibility, and to restore the feeling of community solidarity.
The crisis of the moment is this: An Executive Director"Navigator"/Station Manager position was created in a misguided effort to address a perceived lack of direction. Unfortunately, the result was that a much-needed Winter Membership Drive was cancelled by the "Navigator," creating a minor cash-flow crisis. This crisis was deepened when the "Navigator" attempted to fire/lay off the entire Staff (needed for successful Drives and good programming), thereby destroying esprit de corps on the Staff and dividing them. When the Staff responded with a union to protect their jobs, the Navigator worsened the situation by confronting them with professional and expensive union-busters.
Though there is a majority now on the Board sympathetic to unions and to transparency at the Station, they may be somewhat intimidated by the situation. For example, although the Bylaws as registered with the State of Oregon trump any policy, there is much mention of a Board Policy Manual (BPM) cribbed from corporate boilerplate. With our presence, we can lend courage to the Board to reverse its exclusivist course.
Ten minutes has been allotted for the Members to address the Board. This will not do, and of course the Board may (via Robert's Rules, explicitly accepted by the Bylaws) revise that and any such preparation, and may add any thing desired to the Agenda. There will be attempts to say that the Agenda is set. It is not. It is our station, our agenda, our Board; we will respectfully demand to be heard. As there are likely to be several speakers, it is helpful to write comments in advance. The Station "Navigator" has resisted any change to the agenda. Our presence will be necessary to change that.
It is likely that we will be successful, and I propose celebrations afterward, perhaps at residence(s) and/or at the adjoining Douglas Fir bar. Successful or not, we will need to take measures (names and contacts) to prepare for a General Membership Meeting, which according to the Bylaws and ORS65 has the power to trump Board decisions and to remove Board members.
Thanks for your patience and your energy in this difficult matter
